Many times this is simply a result of the charging circuitry on the motherboard, nobody is sure what causes it. Contacts to the battery are usually always okay, though to make sure check there aren't any bends in the contacts which are attached to the motherboard. If the problem persists, you do not have any crackling from the DC input on the laptop when moved and have a brand new battery, the only resolution is to replace the motherboard.

It completely depends on the type of motherboard. In the past I have successfully removed CMOS passwords by short-circuiting a track on the motherboard. Obviously this isn't recommended, and can only be done on certain models.
